Terms and Conditions

1. Acceptance of Terms

By creating an account or using any part of the GPRN platform, you confirm that:

• You have read, understood, and agree to these Terms and our Privacy Policy.
• You are at least 18 years of age.
• If registering as a locum GP, you hold a valid GMC registration and are on the NHS Wales Performer List (or are eligible to be added).
• If registering as a practice, you are authorised to act on behalf of the practice and to enter into agreements for locum services.

We reserve the right to update these Terms at any time. Continued use of the platform after changes constitutes acceptance of the revised Terms. We will notify registered users of material changes via email or platform notification.

2. User Accounts

When you create an account on GPRN, you agree to:

• Provide accurate, complete, and up-to-date information during registration and in your profile.
• Maintain the security of your account credentials and not share your login details with others.
• Notify us immediately of any unauthorised access to your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that provide false information, engage in fraudulent activity, or breach these Terms.

3. Platform Use

The GPRN platform is provided to facilitate connections between locum GPs and GP practices in Wales. You agree to use the platform only for its intended purpose and not to:

• Use the platform for any unlawful purpose or in violation of any applicable regulations.
• Post misleading, false, or fraudulent session listings or profile information.
• Attempt to circumvent the platform to arrange bookings outside GPRN in order to avoid applicable fees.
• Scrape, harvest, or collect data from the platform by automated means.
• Interfere with or disrupt the platform's infrastructure or other users' access.
• Upload content that is harmful, offensive, or infringes the rights of others.

We reserve the right to remove content and restrict access to users who violate these terms at our sole discretion.

4. Booking Terms

The following terms apply to session bookings made through the GPRN platform:

• Session details: Practices are responsible for the accuracy of all session details including dates, times, session types, and requirements when sending invitations.
• Invitations: Practices send direct invitations to locums with the locum's set rate. The locum may accept, decline, or counter-offer. Both parties may negotiate until an agreement is reached or the invitation expires.
• Confirmation: A booking is confirmed when both parties agree on terms through the platform. Both parties will receive a confirmation notification.
• Cancellations: Confirmed bookings should be honoured. Cancellations by either party should be made as early as possible through the platform. Repeated cancellations may affect your booking reliability score and could result in account restrictions.
• Professional standards: Locum GPs are expected to maintain appropriate professional standards, hold valid indemnity insurance, and comply with all relevant NHS and regulatory requirements when fulfilling sessions.
• No employment relationship: GPRN does not employ locum GPs. The platform facilitates introductions between independent locum GPs and practices. The contractual relationship for each session is between the locum and the practice.

5. Payment Terms

• Locum rates: Locums set their own rates on the platform. Rates are visible to practices when reviewing offers. The agreed rate forms the basis of the financial arrangement between the locum and the practice.
• Service fees: Practices may be charged a service fee per confirmed booking. The applicable fee is clearly displayed before booking confirmation.
• Payment between parties: Payment for completed sessions is arranged directly between the locum and the practice. GPRN does not process locum payments and is not liable for payment disputes between users.
• Invoicing: Practices receive monthly invoices for any platform service fees. Payment terms are 30 days from invoice date unless otherwise agreed.

6. Liability

To the fullest extent permitted by law:

• GPRN provides the platform on an "as is" basis and makes no warranties regarding the availability, accuracy, or reliability of the service.
• We are not responsible for the conduct, qualifications, or performance of any locum GP or practice using the platform.
• We are not liable for any loss, damage, or injury arising from bookings or interactions facilitated through the platform.
• Our total liability to you for any claim arising from your use of the platform shall not exceed the fees you have paid to us in the 12 months preceding the claim.
• We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the platform.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

7. Termination

• By you: You may close your account at any time by contacting our support team. Closing your account does not release you from any obligations arising from confirmed bookings.
• By us: We may suspend or terminate your account if you breach these Terms, provide false information, or engage in conduct that we reasonably consider harmful to other users or the platform.
• Effect of termination: Upon termination, your right to access the platform ceases immediately. We may retain your data as required by law or for legitimate business purposes, in accordance with our Privacy Policy.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
